CVC Asia Pacific, a buyout firm, said it had agreed to buy the DCA Group for 1.7 billion Australian dollars ($1.3 billion) to gain control of an Australian provider of hospitals for the elderly. CVC will pay 3.50 Australian dollars for each share of DCA, 35 percent more than the stock’s price on Sept. 8, when DCA said it had received takeover offers. Companhia Vale do Rio Doce of Brazil said it had extended its 19 billion Canadian dollars ($17 billion) tender offer for the Canadian mining company Inco to give regulators time to approve the deal. Rio Doce said it extended the deadline to Oct. 16 from Sept. 28. Rio Doce, the world’s largest iron ore miner, has obtained regulatory approval from the Canadian Competition Bureau and from authorities in the United States, but must still get clearance from the European Commission and Investment Canada...

UCB, a Belgian drug maker, said it had agreed to buy Schwarz Pharma of Germany for 4.4 billion euros ($5.6 billion) to gain experimental medicines for Parkinson’s disease, epilepsy and bladder control. Schwarz investors will get 91.10 euros a share in cash and stock, 20 percent more than the closing price on Friday, UCB said. The Schwarz-Schuette family, which owns 60 percent of the company, backed the offer. Schwarz, based in Monheim, Germany, is the third European family-owned drug maker to sell in less than a week as the cost of developing new products rises. UCB, which faces patent expirations on its top sellers starting next year, will get three drugs that may provide more than 2 billion euros in annual revenue...

Santander will also pay as much as $175 million to some of Drive Financial’s management if the company meets goals in the next two years. Acciona, a Spanish builder, bought 10 percent of Endesa, the country’s biggest power company, for 3.4 billion euros ($4.3 billion), throwing a new twist into a takeover battle for Endesa. Acciona said it did not plan to make a takeover bid, but it did not rule out increasing its stake. The 10 percent share matches that of Endesa’s largest shareholder, Caja Madrid. Endesa is the target of competing takeover bids from E.On of Germany and Gas Natural of Spain. The price Acciona paid for its stake, 32 euros a share, is 26 percent more than E.On’s bid, a factor that might force E.On to raise its bid or to withdraw because of the high price, analysts said...
