Canada’s main securities regulator, the Ontario Securities Commission, halted an attempt by the Sears Holdings Corporation to buy out the minority shareholders in Sears Canada for 892 million Canadian dollars ($775 million). Sears Holdings is the majority owner of Sears Canada, but a majority of minority shareholders would have to support its offer to take the Canadian operation private. Sears won the support of most of the minority shareholders earlier this year, but several institutional shareholders banded together to challenge the deal. The commission ruled that Sears Holdings failed to disclose certain arrangements it made with several shareholders regarding the purchase of their shares and that as a result, votes cast by those shareholders could not be counted. The commission halted the offer until Sears Holdings discloses all the details about the support agreements in its bid proposal...
